Derivative Works Guidelines

Studiobside Co., Ltd. (hereinafter referred to as the “Company”) has established the following guidelines to promote the dissemination of its game content (hereinafter referred to as the “Game”), strengthen user engagement, and show respect for the creative activities of fans and creators.

The Company respects creators and seeks to contribute to the growth of cultural content through the encouragement of free and creative derivative works.

When using the Company’s game intellectual property (IP) for the purpose of creating derivative works, you must comply with the following guidelines.

Article 1. Definitions

1) Game IP
"Game IP" refers to all intellectual property rights related to the games serviced by the Company. All such rights are owned by the Company.

2) Original Content
"Original Content" refers to all content developed or used for marketing by the Company, including game illustrations, images, videos, music, and other related materials.

3) Derivative Works
"Derivative Works" refer to new creative outputs produced by creators based on the Original Content. Examples include:

• Creation, exhibition, and distribution of illustrations, figures, plush toys, and other three-dimensional works
• Creation, exhibition, distribution, and transmission of fan books and other derivative digital content
• Posting of derivative works on creator fan community platforms
• Production, exhibition, and distribution of cosplay costumes
• Distribution, exhibition, screening, and online sharing of cosplay photos and videos

4) Derivative Work Activities
"Derivative Work Activities" refer to the act of producing and distributing derivative works. Unauthorized modification or editing of Original Content does not fall under derivative work activities.

5) Streaming
"Streaming" refers to the act of broadcasting gameplay involving the Company’s Game IP, including both live and recorded broadcasts.

Article 2. Eligibility for Derivative Work Activities

1) Derivative work activities are permitted freely by individuals or unincorporated groups, provided they are conducted for non-commercial purposes as defined by the Company.

2) Definition of "Non-Commercial Purposes":

• This includes the creation of derivative works by individuals or unincorporated groups as part of a hobby, where any compensation received is solely to cover minimal production costs (e.g., material costs, printing, shipping).
• However, if derivative works are used to generate sustained revenue or are utilized by corporations or organizations for commercial purposes, such use is not considered non-commercial.

3) If a corporation or organization (with legal personality) wishes to engage in derivative work activities, or if any creator intends to exceed the scope defined in this guideline, they must contact the Company for prior consultation.

Article 3. Streaming

Game streaming, video uploads, and screenshot sharing using the Company’s Game IP are freely allowed for both individuals and unincorporated groups or organizations.

Article 4. Prohibited Acts

The following cases may result in restriction or prohibition of derivative works or streaming:

1) Content that distorts or harms the image of the Game IP
2) Content contrary to public morals and decency
3) Works that lack originality, such as direct copying, scanning, sampling, or tracing of original content (illustrations, videos, audio, music, etc.)
4) Activities that impersonate the Company or present themselves as official
5) Content that infringes or may infringe upon the rights of others
6) Content that may cause confusion as being an official product of the Company
7) Content used for purposes beyond expression, such as political, religious, or ideological propaganda
8) Activities that go against the Company’s values or internal policies
9) Content that may violate civil or criminal law

Article 5. Request for Activity Suspension

If these guidelines are violated, the Company may request the suspension or deletion of the relevant derivative work, distribution, or broadcast. Legal action may be taken if deemed necessary.

Article 6. Compliance with Laws

These guidelines serve as a general reference for derivative works and do not constitute a legally binding agreement. Creators must comply with all applicable laws, and all responsibility lies with the creator. The Company is not liable for any damages caused by revisions to these guidelines, which may be updated without prior notice.
